Welcome to CareIQ, LLC. These Terms and Conditions govern your access to and use of our website at careiq.io, our Remote Patient Monitoring (RPM) platform, and all related care management services. By accessing or using our services, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions.

If you do not agree to these terms, you must discontinue use of our website and services immediately.

1. About CareIQ

CareIQ, LLC is a healthcare technology company based in Wilmington, Delaware, USA. We provide comprehensive Remote Patient Monitoring (RPM), Chronic Care Management (CCM), Behavioral Health Integration (BHI), and CMS-compliant billing support to licensed healthcare providers across the United States. Our platform combines FDA-approved connected health devices, a HIPAA-compliant SaaS platform, outsourced clinical monitoring, and revenue-cycle services to help providers deliver proactive, continuous patient care.

2. Eligibility and Account Registration

Our services are intended exclusively for licensed healthcare providers, medical practices, and their authorized staff. By creating an account or using our platform, you represent and warrant that:

  • You are a licensed healthcare professional or an authorized representative of a covered healthcare entity
  • You are at least 18 years of age
  • All information you provide during registration is accurate, complete, and current
  • You will maintain the confidentiality of your account credentials and are responsible for all activity under your account
  • You will notify CareIQ immediately of any unauthorized access or suspected security breach

CareIQ reserves the right to suspend or terminate accounts that violate these terms or engage in any activity that poses a risk to the platform or its users.

3. Description of Services

CareIQ offers the following core services subject to the subscription tier selected:

  • Remote Patient Monitoring (RPM): End-to-end service from device logistics and deployment to real-time data review and clinical reporting
  • Chronic Care Management (CCM): Clinical support for 20 or more minutes of monthly care coordination per patient
  • Behavioral Health Integration (BHI): Support for patients with co-occurring mental and physical health needs
  • CMS-Compliant Billing and Coding Support: Automated tracking and documentation aligned with CPT codes 99453, 99454, 99457, 99458, and others
  • Care Management Staffing: HIPAA-compliant outsourced case workers for patient monitoring and engagement
  • Patient and Provider Education: Onboarding, training, and adoption support for providers and patients

Service availability may vary by subscription plan. CareIQ reserves the right to modify, suspend, or discontinue any service with reasonable notice.

4. SMS Communications and Text Messaging

CareIQ, LLC offers SMS-based communications to support patient engagement, appointment reminders, care alerts, and platform notifications through our integration with RingCentral. By providing your mobile phone number and opting in to SMS communications, you consent to receive text messages from CareIQ or your enrolled healthcare provider at the number provided.

Message frequency may vary based on your care plan and provider settings. Standard message and data rates may apply depending on your mobile carrier and plan. You may opt out at any time by replying STOP to any message you receive, and you may request assistance by replying HELP. Opting out of SMS does not affect your access to other CareIQ services.

CareIQ does not share your mobile number with third parties for marketing purposes. All SMS communications are conducted in compliance with the Telephone Consumer Protection Act (TCPA) and applicable carrier guidelines.

5. Subscription, Fees, and Payment

CareIQ operates on a subscription-based pricing model starting at $15 per patient per month, with service tiers ranging up to $70 per patient per month depending on the scope of services selected. By subscribing, you agree to the following:

  • Fees are billed on a monthly basis unless otherwise agreed in writing
  • All fees are due upon receipt of invoice and are non-refundable except as expressly stated in your service agreement
  • CareIQ reserves the right to adjust pricing with at least 30 days written notice
  • Failure to pay outstanding balances may result in suspension or termination of services
  • You are responsible for all applicable taxes and regulatory fees associated with your use of our services

6. HIPAA Compliance and Business Associate Agreement

CareIQ functions as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA) when processing Protected Health Information (PHI) on behalf of covered entities. Prior to accessing patient data or activating RPM services, covered entities must execute a valid Business Associate Agreement (BAA) with CareIQ.

By using our platform to manage patient health data, you agree to:

  • Comply with all applicable HIPAA Privacy Rule and Security Rule requirements
  • Ensure patients provide appropriate consent for remote monitoring and data sharing
  • Use the platform only for lawful, authorized healthcare purposes
  • Report any known or suspected PHI breach to CareIQ immediately

CareIQ will maintain all required safeguards and cooperate with covered entities in fulfilling their HIPAA obligations.

7. Acceptable Use

You agree to use CareIQ's platform and services only for lawful purposes and in accordance with these Terms and Conditions. You must not:

  • Use the platform to process data in violation of HIPAA, CMS regulations, or any applicable federal or state law
  • Attempt to access, tamper with, or disrupt the platform's infrastructure, servers, or security systems
  • Share your account credentials with unauthorized individuals
  • Submit false, misleading, or fraudulent billing codes or patient data
  • Reverse-engineer, copy, or reproduce any part of the CareIQ platform or proprietary technology
  • Use the platform to harass, defraud, or harm any patient, provider, or third party

CareIQ reserves the right to investigate and take appropriate action, including account suspension or legal referral, for any violation of this section.

8. Intellectual Property

All content, software, technology, trademarks, and materials made available through CareIQ's website and platform — including but not limited to the SaaS platform, dashboards, algorithms, reports, and documentation — are the exclusive intellectual property of CareIQ, LLC or its licensors.

You are granted a limited, non-exclusive, non-transferable license to access and use the platform solely for your authorized healthcare operations. You may not reproduce, distribute, modify, or create derivative works from any CareIQ materials without prior written consent.

9. Third-Party Integrations

CareIQ's platform integrates with third-party EHR systems, phone platforms, and technology partners including Epic, Cerner, Athena, NextGen, RingCentral, and others. Your use of these integrations is subject to the terms and conditions of those third-party providers. CareIQ is not responsible for the availability, accuracy, or data practices of any third-party service.

10. Disclaimer of Warranties

CareIQ's platform and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, CareIQ disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

CareIQ does not warrant that the platform will be error-free, uninterrupted, or free from security vulnerabilities. Clinical decisions remain the sole responsibility of the licensed healthcare provider. CareIQ's platform is a care management tool and does not constitute medical advice, diagnosis, or treatment.

11. Limitation of Liability

To the maximum extent permitted by applicable law, CareIQ, LLC and its officers, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of — or inability to use — our services, even if CareIQ has been advised of the possibility of such damages.

CareIQ's total cumulative liability for any claim arising under these Terms and Conditions shall not exceed the total fees paid by you to CareIQ in the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless CareIQ, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses including reasonable attorneys' fees, arising out of or related to your use of the platform, your violation of these Terms and Conditions, or your violation of any applicable law or regulation.

13. Termination

Either party may terminate the service agreement with written notice as specified in the applicable service contract. CareIQ reserves the right to immediately suspend or terminate your access without prior notice if you materially breach these Terms and Conditions, violate HIPAA requirements, or engage in conduct that poses a risk to the platform or its users.

Upon termination, your right to access the platform ceases immediately. CareIQ will retain and handle PHI in accordance with the terms of the BAA and applicable law following termination.

14. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms and Conditions shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be submitted to binding arbitration in Wilmington, Delaware, in accordance with the rules of the American Arbitration Association.

15. Changes to These Terms

CareIQ reserves the right to update or modify these Terms and Conditions at any time. When material changes are made, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or via a notice on our website.

Your continued use of our services after any changes constitutes your acceptance of the revised Terms and Conditions. We encourage you to review these Terms periodically to stay informed of your rights and obligations.
